Terms of Service

1. The Agreement

These Terms of Service (the "Terms") are a legal agreement between you and Nova Hub Technologies Inc., a corporation incorporated under the laws of Canada with its head office at 100 King Street West, Suite 5600, Toronto, ON M5X 1C7, Canada ("Nova Hub", "we", "us"). The Terms govern your download, purchase and use of Nova, our AI assistant application for macOS (the "App"). By downloading, installing, purchasing or using the App, you agree to be bound by these Terms, our Privacy Policy and our Cookie Policy. If you do not agree with any part of the Terms, you must not use the App.

2. Eligibility

You must be at least 13 years old to use the App. If you are under the age of majority in your province or territory of residence (18 in Ontario), a parent or legal guardian must review and accept these Terms on your behalf. By accepting the Terms you confirm that you are eligible to use the App, that the information you provide at the time of purchase is accurate, and that you are not located in a jurisdiction where the App is prohibited by law.

3. Licence

Subject to your compliance with these Terms, Nova Hub grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on up to two Mac computers that you own or control, for your own lawful use. The licence covers the version of the App you purchased together with updates we deliver to you under these Terms. You may not use the App on more than two devices at the same time, and you may not share, rent, lease, sub-licence or otherwise make the App available to any other person.

4. Fees & Refunds

The App is offered as a one-time purchase for a single payment of US $19 (or the equivalent in your local currency, plus applicable taxes). No subscription fees apply and no recurring charges will be billed to you. Payment is processed by a third-party payment provider at the time of purchase. We offer a 14-day money-back guarantee: if you are not satisfied, email support@nova-hub.top within 14 days of your purchase and we will refund the full amount to your original payment method, usually within 10 business days. When a refund is issued, your licence ends and you must uninstall the App and delete all copies of it.

5. Restrictions

You agree not to: reverse engineer, decompile or disassemble the App, or attempt to discover its source code; remove or alter any copyright or proprietary notices; copy, modify or create derivative works based on the App; circumvent the App's licence activation or security features; sell, resell, rent or lease the App or any licence to it; use the App to generate or distribute unlawful, harmful or infringing content; use the App to harass, defame or deceive others; use automated tools to access or interfere with our systems; or use the App in connection with safety-critical systems where failure could cause injury, death or property damage.

6. Third-Party Services

Some features of the App rely on third-party services, including cloud-based AI providers, our payment processor and hosting providers. When you use those features, the relevant third party's terms and privacy practices may apply, and you acknowledge that Nova Hub is not responsible for the performance, availability or content of third-party services. Information you submit through AI features may be processed by third-party providers as described in our Privacy Policy. You are solely responsible for the content you submit to the App.

7. Updates

We may, from time to time, release updates, patches, improvements or new versions of the App. Updates may be delivered automatically or made available for download. We are not obligated to provide updates for any particular period of time, and features may be added, changed or removed. We may also update these Terms; the "Last updated" date at the top of this page will change, and your continued use of the App after an update takes effect means you accept the revised Terms. Where a change is material, we will make reasonable efforts to notify you.

8. Disclaimer

To the maximum extent permitted by applicable law, the App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the App will be uninterrupted, error-free or secure, or that AI-generated output will be accurate, complete or suitable for your purposes. Output produced by the App is generated by AI models and may contain errors; you are responsible for reviewing output before relying on it. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Nova Hub and its officers, directors, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or business opportunities, arising out of or in connection with the App or these Terms, even if advised of the possibility of such damages. Our total aggregate liability to you for all claims arising out of or relating to the App and these Terms will not exceed the amount you paid for the App. Nothing in this section limits liability that cannot be excluded or limited under the laws of Ontario or applicable Canadian law, including liability for fraud or gross negligence.

10. Termination

You may stop using the App at any time and for any reason. We may suspend or terminate your licence and access to the App if you breach these Terms, if we are required to do so by law, or if we discontinue the App. Upon termination, the licence granted under these Terms ends, you must uninstall the App and delete all copies, and any provision of these Terms that by its nature should survive termination — including sections 5, 8, 9 and 11 — will continue to apply. Termination does not affect your right to request a refund under section 4 if you are still within the 14-day period.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts of the Province of Ontario, sitting in the City of Toronto, have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you consent to the personal jurisdiction of those courts. If you are a consumer, you may also have rights under the laws of your province of residence.
